Terry is a director and co-founder of CGF Research Institute (Pty) Ltd. He has served most of his professional career in the SA financial services market where he fulfilled a number of senior management positions across the retail, commercial and corporate banking sectors at Barclays Bank Plc, Santam Bank, First National Bank and Nedcor Group. Terry has been widely recognised for his thought leadership and innovative approach and as an independent executive consultant, he is sought after by the private and public sectors alike to assist rethink their business strategy and current business practices against the backdrop of business innovation and corporate governance. He gained international experience as an e-business strategy consultant at Electronic Trading Solutions and at IBM SA where he became Services Executive of Global Midmarket Business. Terry has completed various Executive Management Programs run through Stellenbosch University, including Executive Management Programs in Belgium & Germany covering Professional Consulting and Business Transformation. Terry is a member of the British Chamber of Business in Southern Africa and of the International Federation of Business and Professional Women (BPW SA). He is an Honorary Patron of the CGF-Proudly South African Annual School Governance Awards, Patron of the Human Capital Institute South Africa and serves on the African Foundation board as a non-executive director.

Mmathoto Lephadi (Non-Executive Director and Chairperson)
|

Mmathoto is the chairperson and a non-executive director of CGF Research Institute. She is the Company Secretary and Legal Counsel of Denel. Mmathoto´s professional experience spans sectors as wide as energy, telecommunications, media, agriculture and government. Mmathoto has been involved in a number of initiatives in the areas of legal and regulatory compliance, and strategic management. She has served on the SA Broadcasting Complaints Commission as a commissioner, and has been a board member of Africa Speaks Communications and of the Eskom Development Foundation. Mmathoto belongs to a number of professional bodies including the Law Society of the Northern Province, Black Lawyers Association and International Bar Association. She is a member of the Businesswomen Association of South Africa (BWASA). Mmathoto holds a B Proc and an LLB degree, and she is an admitted attorney.

Lucien Caron (Lead Consultant: Company Secretariat & Legal)
|
Lucien is a Lead Contractor, where he focusses predominantly upon the company secretariat, regulatory and compliance areas. During the last 12 years, he has gained extensive experience in company secretarial and corporate governance matters in both unlisted and listed companies. This includes support to the board of directors and committees, corporate governance and board advisory functions, board effectiveness evaluations, director training and orientation. He has also gained extensive experience in the fields of regulatory compliance and affairs, legal drafting and opinions, risk management, annual reports, group insurance portfolios, cover limits and exclusions and renewal processes. Lucien has the following qualifications: Bachelor of Arts, Bachelor of Laws; Advanced Diploma in Company Law and is an admitted Attorney of the High Court of South Africa. After being admitted to practice in the High Court of South Africa, Lucien specialised in commercial law and commercial litigation for a number of years.

Andre Barwick (Lead Consultant: Company Secretariat & Legal)
|

Andre is a Lead Contractor who offers a wealth of knowledge in the company secretariat arena, and particularly for mid size companies. He spent the last nineteen years in the petroleum and oil industry sector as a Legal Adviser and Company Secretary and is highly recommended for his knowledge of ethical business practices. Andre also fulfilled the role of Ethics Officer, having attended the Ethics Officer Certification Programme in 2006 and was responsible for launching the Ethics Management Programme. He gained extensive experience in company secretarial and corporate governance matters including support to the board of directors and committees, corporate governance and board advisory functions, director training and orientation. Andre also held the position of General Manager and managed the Internal Audit, Risk, Purchasing, Ethics, Legal, Compliance and security departments.
Andre has extensive knowledge and experience of on- and off-shore governance reporting, dual board advisory functions, annual reporting, risk management and regulatory compliance.
Andre has the following qualifications: BA LLB, H.Dip Company Law, H. Dip Tax law and is an admitted Attorney of the High Court of South Africa. After being admitted to practice in the High Court of South Africa, Andre specialised in commercial law and litigation.

Petra Booysen (Financial Administrator)

Petra Booysen is our financial administrator and minority shareholder of CGF where she fulfills the role of managing CGF’s accounts, including back office support and administration. Prior to joining CGF in March 2004, Petra was a Financial Officer at Nedbank, covering the financial accounts for the bank’s Technology & Operations division. Over the periods 1994 - 2002, Petra fulfilled the functions of Assistant Accountant and then Accountant for Gaertner, an export/import company in Cape Town. Petra holds a BComm in accountancy obtained from the University of Pretoria and a BCompt(Hons) from UNISA. She is fluent in English, Afrikaans and German.

Gretchen Meyer (Personal Assistant and Website Administrator)

Gretchen Meyer is a personal assistant, Website Administrator and marketing officer at CGF. Gretchen has more than 10 years of PA experience in the insurance, retail and medical industry. Gretchen joined CGF in January 2008 and fulfils the functions of office administration, sales, client liaison and technical support.

Desirée Ogilvie (Research Consultant)

Desirée Ogilvie is the latest addition to CGF and joined the team in November 2011. Hailing from a Project Administration background, she has previous experience in the retail and IT industries, and has joined CGF in the capacity of Research Consultant.

Karen Styane (Independent Researcher)
|

Karen Styane is an independent researcher at CGF. She completed a BA LLB degrees at the University of the Witwatersrand and was admitted as an attorney in 1991. After serving articles, Karen joined the financial services industry in a legal advising capacity where she spent approximately 9 years. Karen joined CGF in January 2006 and is involved in the research & compilation of the corporate governance reports.
